7. Client Service Agreements

These Terms and Conditions apply in addition to any such agreement. In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement shall take precedence.

No verbal representations, promises, or commitments made by any CS Virtual LLC representative shall be binding unless confirmed in writing in a signed Service Agreement.

8. Payment Terms

Fees for CS Virtual LLC's services are as outlined in individual Service Agreements or proposals provided to clients. Unless otherwise stated in a Service Agreement:

  • All invoices are due within 14 days of the invoice date

  • Late payments may be subject to a late fee of 1.5% per month on the outstanding balance

  • CS Virtual LLC reserves the right to suspend services for accounts with overdue balances exceeding 30 days

  • All fees are quoted and payable in US Dollars unless otherwise agreed in writing

  • Refunds are subject to the terms outlined in the individual Service Agreement

9. Disclaimers and Limitation of Liability

9.1 Website Disclaimer

THE WEBSITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CS VIRTUAL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE WEBSITE OR OUR SERVICES, EVEN IF CS VIRTUAL LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
